6. Fees & Payment
Subscription Plans. Certain features require payment of fees. All fees are stated on the Site and are exclusive of taxes.
Billing. You authorize us (or our payment processor) to charge your chosen payment method.
Refunds. Unless otherwise specified, all fees are non-refundable.
7. Intellectual Property
Our Content. All trademarks, service marks, logos, text, graphics, and other content on the Services are owned by or licensed to Truvios and protected by law.
Your Content. You retain ownership of any data or content you upload but grant us a worldwide, royalty-free license to use, host, store, and display it as necessary to provide the Services.
8. Confidentiality & Data Protection
We will handle your personal and business data in accordance with our Privacy Policy.
You agree to keep confidential any non-public information regarding the Services or business operations of Truvios.
9. Warranties & Disclaimers
“AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
NO GUARANTEE. We do not guarantee uninterrupted or error-free operation of the Services.
10. Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, TRUVIOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11. Indemnification
You agree to indemnify and hold harmless Truvios and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or any breach of these Terms.
12. Termination
By You. You may close your account at any time through your account settings.
By Us. We may suspend or terminate your access for violation of these Terms or for any other reason, with or without notice.
Effect. Upon termination, your right to use the Services immediately ceases. Sections 5–13 and any other provisions that by their nature should survive will remain in effect.
13. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or related to them will be governed by the laws of the State of New York, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
14. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and Truvios regarding the Services and supersede any prior agreements.
15. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
